1. Purpose
These GTCS define the terms and conditions under which The Click Lab S.L. provides qualified leads to its clients.
2. Definitions
Qualified lead: A contact meeting the targeting and acceptance criteria as defined in the Order Form, contract or commercial email exchange.
Lead validation: Confirmation from the Client that the lead meets the defined criteria.
Guaranteed volume: The agreed number of leads to be delivered under specified conditions and timeline.
3. Provider's Obligations
The Provider undertakes to make all reasonable efforts to deliver qualified leads according to the agreed criteria. Leads will be delivered through agreed channels. No guarantee is given on the conversion of leads into final clients.
4. Client's Obligations
The Client must process the leads within a maximum of 72 hours from receipt. If not validated or rejected within this period, the lead will be considered tacitly validated and billable. Rejection must be clearly justified within the agreed criteria.
5. Price and Payment Terms
Prices are set per validated or tacitly validated lead, as per the Order Form, accepted quotation or explicit email agreement. Payment is due within 30 days end of month. Late payments will incur 15% annual interest, a minimum fee of €120 and legal recovery costs, all borne by the Client.
6. Lead Quality Criteria
A lead will only be deemed non-compliant if it clearly fails to meet one or more of the agreed acceptance criteria. Lack of interest or commercial rejection by the prospect is not a valid reason for rejection.
7. Liability
The Provider is subject to a best-efforts obligation. It is not liable for any loss of revenue, image or business opportunity of the Client.
8. Data Protection (GDPR)
The Click Lab collects and delivers leads in compliance with GDPR. Leads are opt-in. The Client becomes data controller upon receipt. The Click Lab reserves the right to reuse leads for remarketing or requalification purposes for up to 60 days unless exclusivity is agreed.
9. Term and Termination
These GTCS apply for the duration of the collaboration. In case of serious breach, the contract may be terminated with 7 days’ notice. Termination does not exempt the Client from paying for delivered leads.
10. Confidentiality
Both parties agree not to disclose any confidential information shared during the collaboration.
11. Disputes
Parties will seek an amicable solution. If unsuccessful, disputes will be submitted to the competent courts of Barcelona.
12. Miscellaneous
Any amendment must be made in writing. In case of conflict, the Order Form or specific agreement prevails.
